CSS TIRISANO AND BORN FREE INVESTMENTS 220 (PTY) LTD, (“BORN FREE GROUP”) ANNOUNCE A BEE TRANSACTION ______________________________________________________________________________

CSS TIRISANO, an established information technology company, and the Born Free Group, a new black empowerment company have reached agreement on the sale of a majority interest in CSS TIRISANO to the Born Free Group and the mainly black employees of CSS TIRISANO in a staff share scheme.

CSS TIRISANO is a company that specialises in the supply, maintenance and service of computers, network systems equipment, Internet and related I.T. Services.  CSS TIRISANO has an impressive client base which includes many local authorities, major industrial and chemical manufacturers, Transnet and major mining houses.  CSS TIRISANO is a supplier of IBM, HP, EMC and Proline products.

The Born Free Group is a newly organised consortium of established business people that are committed to expanding black interests in the I.T. sector.

The Born Free Group comprises of 100% black shareholders, some with I.T. marketing experience, but all with a wealth of business experience and access to new market segment in which CSS TIRISANO can expand their market presence.

Kola Gunguluza, the Chairman of the Born Free Group lists the following reasons for the equity purchase in CSS TIRISANO:

  • The excellent track record of over 23 years of service to the corporate, government and institutional markets.

  • A technical training programme that has introduced hundreds of skilled black technicians into the S.A. computer industry.

  • A reputation for value for money – many clients use CSS TIRISANO not only to supply new equipment, but also to dispose of obsolete used equipment.

  • A commitment by senior management and shareholders to the empowerment process and the goals of the Broad Based Empowerment Act.  This has been done within the company through special training programmes and learnership and the promotion of black employees to senior management and Board positions.

  • The expected expansion of the Government Market at all levels of government introduce new computer equipment and systems to rapidly improve service delivery to the nation.

  • The involvement of employees as shareholders in CSS TIRISANO will create a sense of productive partnership in the company.

Together, the shareholders and employees are undoubtedly able to meet the new “broad-based” empowerment criteria embodied in recent BEE legislation.

The shareholders will include:

  • A senior leader of organised commerce

  • An e-learning specialist

  • A local government advisor

  • An engineer

  • Two female finance specialists with experience in audit and corporate finance

  • A market development expert

  • Company employees (overwhelmingly black)

After extensive discussions, the management of both CSS TIRISANO and the Born Free Group found that they shared a common vision of growth for the company and agreed on an effective date for the transaction of 1 October 2004.

Born Free Group will appoint directors to the CSS TIRISANO Board.
